DFS Ethiopia Hub: Terms and Conditions

These Terms and Conditions shall govern the use of the DFS Ethiopia Hub Platform, as defined below.

The following terms and conditions govern the use of the online services (the "Online Services") and materials available therein (the "Materials") served by DFS Ethiopia Hub. By continuing to access, link to, or use the Online Services, you signify your acceptance of the General Terms and Conditions. The terms "you" and "your" in uppercase or lowercase shall refer to the entity (e.g. individual, company, corporation, partnership, sole proprietor, etc.) or government agency using DFS Ethiopia Hub.

Section 1 - Grants of Rights; Restrictions of Use

1.1.

The authorized Users (as defined in Section 2.1) are granted a non-exclusive, non-transferable, limited right to access and use the Online Services. The rights granted exclusively to authorized Users are as follows:

  • The right to use the Materials for research purposes and to incorporate the Materials into analyses, presentations, documents, and other similar forms of work or research material, including the printing and archiving of statistics for internal purposes and a fair use of downloaded statistics. This can be done while providing reference for the source of data or material.
1.2.

All rights, title, and interest (including all copyrights, trademarks, and other intellectual property rights) in the Online Services and Materials belong to DFS Ethiopia Hub or its third-party suppliers of Materials. Neither Members nor authorized Users acquire any proprietary interest in the Online Services, Materials, or copies thereof, except for the limited rights granted herein.

1.3.

Neither Members nor authorized Users may use the Online Services or Materials in any manner that infringes the intellectual property rights or proprietary interests of DFS Ethiopia Hub or any third party. Your use of the Online Services and Materials must comply with all applicable laws, rules, or regulations, and you may not use the Online Services for any illegal purpose or in any manner inconsistent with these General Terms and Conditions or any applicable laws.

1.4.

Neither Members nor authorized Users may remove, alter, edit, or obscure the copyright notice or other notices contained in the Materials or on the DFS Ethiopia Hub website.

1.5.

The use of information included in the Online Services or Materials for the determination of an individual consumer's eligibility for credit, insurance, employment, or a government license or benefit is strictly prohibited.

Section 2 - Access to Services

2.1.

Everyone that has registered on the portal is eligible to access and use the Online Services and Materials ("Eligible Individuals"). We will be collecting your information while using the website for research, evaluation or business purposes under the protection of your personal data privacy.

2.2.

The use of the Online Services via mechanical, robotic, scripted, or any other automated means is strictly prohibited. Without a prior written agreement with DFS Ethiopia Hub, the use of the Online Services is only permitted through manually conducted, discrete, individual search and retrieval activities.

2.3.

Eligible Individuals are required to provide truthful and accurate information during registration, including, but not limited to, correct contact information (e-mail, telephone, etc.), confirmation of status (e.g. student status), and confirmation of agreement to these Terms and Conditions. Eligible Individuals are required to notify Statista of any relevant changes made to the information contained hereinabove.

Section 3 - Limited Warranty

3.1.

DFS Ethiopia Hub represents and warrants that it has the right and authority to make the Online Services and Materials available to Eligible Individuals.

3.2.

You agree that your use of the online services is at your sole risk and acknowledge that, except as otherwise provided in section 3.1, the online services and materials are provided "As Is" and "As Available," and that DFS Ethiopia Hub and each third-party supplier of materials make no warranty of any kind, express or implied, regarding the online services and materials, including but not limited to, merchantability, non-infringement, title, or fitness for a particular purpose or use.

Section 4 - Limitation of Liability

4.1.

A Covered Party (as defined below) shall not be liable for any loss, injury, claim, liability, or damage of any kind resulting from:

  • Any errors in or omissions from the Online Services or any Materials
  • The unavailability or interruption of the Online Services or any features thereof or any Materials
  • An Authorized User use of the Online Services or Materials
  • The loss or corruption of any data or equipment in connection with the Online Services
  • The content, accuracy, or completeness of Materials, regardless of whether assistance was received in the use of the Online Services from a Covered Party
  • Any delay or failure in performance beyond the reasonable control of a Covered Party.
  • Any content retrieved from the Internet, even if retrieved or linked to from within the Online Services.
"Covered Party" means:
  • All use of the Online Services and Materials is free.
  • The claim, cause of action or infringement was not caused by you modifying, combining, or in any way altering, amending, or inserting the Online Services or Materials with or into other products or applications not approved by DFS Ethiopia Hub and not authorized by this agreement.
  • You promptly notify DFS Ethiopia Hub of any such claim.
  • You give DFS Ethiopia Hub the sole right to control and direct the investigation, defense and settlement of each such claim, and you fully cooperate with DFS Ethiopia Hub in asserting any available defense.
4.2.

To the fullest extent permissible by applicable law, and under no circumstances, will the total aggregate liability of the Covered Parties in connection with any claim arising from or relating to the use of or inability to use the Online Services or Materials or this Agreement exceed the lesser of your actual direct damages or the amount paid by you, if any, for accessing the Online Services (excluding any applicable taxes or duties) or any links or items on the Online Services or any provision of the Terms and Conditions. Your right to monetary damages in that amount shall be in lieu of all other remedies available to you against any Covered Party.

4.3.

Under no circumstances, including but not limited to negligence, shall the Covered Parties be held liable for any special, direct, indirect, incidental, exemplary, punitive, or consequential damages of any kind whatsoever (including, without limitation, attorney's fees) arising in any way due to, resulting from, or in connection with the Online Services, Materials, or the failure of any Covered Party to perform its obligations. This limitation of liability shall not apply to a party's indemnity obligations or infringement of intellectual property or misappropriation of proprietary data belonging to DFS Ethiopia Hub or its third-party suppliers.

4.4.

In case of any breach of the warranty provided in Section 3.1, DFS Ethiopia Hub has the option to defend or settle any lawsuit and hold you harmless against any proceedings or damages of any kind resulting from a third party's claim of patent, trademark, service mark, copyright, or trade secret infringement related to the use of the Online Services or Materials. This protection will be provided if:

  • DFS Ethiopia Hub and any officer, director, employee, subcontractor, agent, successor, or assignee of DFS Ethiopia Hub.
  • Each third-party supplier of Materials, third-party alliance entities, their affiliates, and any officer, director, employee, subcontractor, agent, successor, or assignee of any third-party supplier of Materials or third-party alliance entity or any of their affiliates.
In the case of a claim of infringement, DFS Ethiopia Hub may, at its option and expense:
  • Procure the right for you to continue using the Online Services.
  • Replace or modify the Online Services so that they become non-infringing.
The provisions of this section shall be your sole and exclusive remedy for the respective matters specified therein.
4.5.

DFS Ethiopia Hub shall not be held liable for a temporary or permanent loss of service resulting from a change in the Member or Authorized User's email address or contact information (stated in section 2.3), intentionally or unintentionally, which has not been communicated to DFS Ethiopia Hub.

4.6.

You agree, at your own expense, to indemnify, defend, and hold DFS Ethiopia Hub, its suppliers, agents, directors, officers, employees, representatives, successors, and assigns harmless from and against any and all claims, damages, liabilities, costs, and expenses, including reasonable attorney's and expert's fees, arising out of or in connection with the Online Services or any links on the Online Services, including, but not limited to:

  • Your use or someone using your computer's use of the Online Services.
  • Use by someone using your account.
  • A violation of the General Terms and Conditions by you or anyone using your computer (or account, where applicable).
  • A claim that any use of the Online Services by you or someone using your computer (or account, where applicable) infringes any intellectual property right of any third party, or any right of privacy or publicity, is libellous or defamatory, or otherwise results in injury or damage to any third party.
  • Any deletions, additions, insertions, or alterations to, or any unauthorized use of, the Online Services by you or someone using your computer (or account, where applicable).
  • Any misrepresentation or breach of representation or warranty made by you contained herein.
  • Any breach of any covenant or agreement to be performed by you hereunder.

Section 5 - Miscellaneous

5.1.

These General Terms and Conditions may be amended or replaced by DFS Ethiopia Hub at any time at its discretion. The General Terms and Conditions may be amended by DFS Ethiopia Hub without prior notice, if necessary. The changes will only be applicable prospectively and will apply to all DFS Ethiopia Hub customers using the Online Services. Any terms and conditions proposed by you that conflict with the General Terms and Conditions will be rejected by DFS Ethiopia Hub.

5.2.

In the event of a breach of this Agreement by an Authorized User, DFS Ethiopia Hub reserves the right to temporarily suspend or discontinue access to the Online Services and pursue any other legal remedies.

5.3.

All notices and communications under this Agreement must be in writing or displayed electronically in the Online Services by DFS Ethiopia Hub. The date of deposit in the mail, availability in the Online Services, or receipt in any other manner will be deemed as the date of proper notice.

5.4.

DFS Ethiopia Hubs’ failure to exercise or enforce any provision of this Agreement does not constitute a waiver of the right to do so later.

5.5.

DFS Ethiopia Hubs’ ability to provide access to the online services and the materials contained therein is governed by various privacy laws, data protection laws, and other relevant regulations in different jurisdictions (collectively referred to as "Data Laws"). Additionally, the availability of the materials is also subject to the licenses under which they were obtained. Upon registration, DFS Ethiopia Hub will conduct a due diligence review of your account to ensure compliance with the Data Laws and license restrictions. This review may be heightened if you request access to sensitive, non-public materials. Also, DFS Ethiopia Hub may periodically review your use of materials subject to the Data Laws and licenses (collectively called "Regulated Data"). As a user, you acknowledge your responsibility to fully cooperate with DFS Ethiopia Hub in any due diligence or regulatory review and to promptly provide any relevant records and documentation that may be requested. All expenses incurred in connection with these reviews will be borne by DFS Ethiopia Hub. If you fail to fully cooperate with DFS Ethiopia Hub or if any review reveals that you do not have a valid purpose for accessing Regulated Data, DFS Ethiopia Hub reserves the right to deny access to the online services or to the Regulated Data. In such cases, DFS Ethiopia Hub will not be obligated to reduce the fees payable by you.

5.6.

If any unauthorized access or use of regulated data (“Security Event”) occurs through you, your authorized users, or any person using the online services through your or your authorized user's failure to secure their DFS Ethiopia Hub login credentials or computer, the following provisions will apply:

  • You will comply with all applicable laws and regulations and notify the affected individuals of the Security Event if required by law.
  • You will notify any other necessary parties, including regulatory entities and credit reporting agencies, as required by law
  • You will not reference or identify DFS Ethiopia Hub or the product through which the regulated data was provided in any notifications related to the Security Event without prior written consent from DFS Ethiopia Hub.
  • You will be fully responsible for any claims that may arise from the Security Event caused by you, your authorized users, members, or any person using the online services and will indemnify DFS Ethiopia Hub for any third-party claims directed against DFS Ethiopia Hub that result from the Security Event.
  • You will bear all expenses related to notifications and indemnity claims arising from the Security Event
